1. Definitions and interpretation 

In these RSS Terms, unless the context otherwise requires, the following definitions shall apply:

Lazada: Lazada Singapore Pte Ltd and its affiliates.

Lazada Platform: www.lazada.sg or any other internet domain property of Lazada, and the Lazada Mobile Application available on mobile operating systems (including on iOS and Android), where Seller may list Products for sale under these RSS Terms and/or Terms of Service, and where Buyer(s) may buy such Products.

RedMart: Redmart Limited, an Affiliate of Lazada.

RSS: RedMart Speciality Store, which is a marketplace channel on the Lazada Platform.

RSS Terms: these terms and conditions, as amended by Lazada from time to time.

Store: the page on Partner Portal (defined in paragraph 3.4 below) dedicated to a Seller’s Products. 

Terms of Service: the Lazada Terms of Service (Seller) governing the use and access of the Lazada Platform as a seller, which can be found at here .

2. Service Terms

2.1 By participating as a Seller under the RSS Programme (defined in paragraph 3.1 below), you represent and warrant to Lazada that you have read and understood these RSS Terms and the Terms of Service, and you agree to the following: 

(a) to be bound by these terms (“RSS Terms”) and the Terms of Service which are incorporated by reference into these RSS Terms;

(b) these RSS Terms and the Terms of Service shall collectively replace and supersede all previous agreements in their entirety (such as the RedMart Marketplace Agreement) on the same subject matter between you and RedMart; and 

(c) these RSS Terms and the Terms of Service shall govern your use of the Platform and the Partner Portal (as elaborated below). 

For the avoidance of doubt, the RSS Terms shall be considered and forms an integral part of the Terms of Service, and any reference to the Terms of Service shall mean collectively the RSS Terms and the Terms of Service. 

2.2 Capitalised terms used and not defined herein have the same meaning as given to such terms in the Terms of Service. 

2.3 In the event of a conflict between the provisions of these RSS Terms and the Terms of Service, the provisions of these RSS Terms shall prevail to the extent of such inconsistency. 

2.4 The replacement of the RedMart Marketplace Agreement with this RSS Terms shall be without prejudice to any of the accrued rights of either RedMart or you under the RedMart Marketplace Agreement up to the date of your acceptance of these RSS Terms. 

2.5 Lazada may change any of these RSS Terms, the Terms of Service and any fees (including the RSS Charges (defined below)), procedures and Policies governing the Services, the Platform and/or Partner Portal at any time. These changes will take effect seven (7) days after publication on the Platform, Partner Portal, or other form of notification to you. You are responsible for reviewing notices and Policies, and your continued use of the Services, the Platform, and/or Partner Portal following the changes taking effect will constitute your acceptance of such changes. 

2.6 If you do not agree to any such changes, you must stop using the relevant Services, the Platform, and Partner Portal (except to the extent required in the RSS Terms or the Terms of Service), and contact our supplier support centre to deactivate your account under Partner Portal ("Partner Portal Account") upon which these RSS Terms (and the Terms of Service will be terminated. For the avoidance of doubt, newer versions of the RSS Terms and/or the Terms of Service supersede older versions, unless otherwise agreed by Lazada. 

3. RSS Programme

3.1 In consideration of your agreement to the terms and conditions set out in these RSS Terms, Lazada invites you to be part of the Platform as a RSS Seller, and grant you access to the Partner Portal (“RSS Programme”). 

3.2 Each Seller under the RSS Programme will be required to access the Partner Portal (instead of the Seller Centre) to sell Products through the Platform. All references to the Seller Centre under the Terms of Service shall also include the Partner Portal. 

3.3 You must accept these RSS Terms and the Policies (where applicable), and you shall provide a copy of any documents requested by Lazada upon entering into the Terms of Service by uploading the same to Partner Portal. Lazada may verify these documents and other submitted information prior to effecting any Payments to you.

3.4 The Partner Portal is a tool offered by Lazada to Sellers participating in the RSS Programme for the operation of Seller’s operations on the Platform. Until a Seller has been notified otherwise, any Products to be sold through the Platform under the RSS Programme shall be managed through the Partner Portal.

3.5 You may engage Lazada’s in-house photography team to capture and upload any Product images for the purpose of selling, marketing, advertisement, branding, research, promotion, and any other commercial business purpose in connection with the RSS Programme. If you require such services, Lazada may charge you a service fee for this Additional Service, which includes pickup and drop off of items, capturing images and measuring dimensions of the Product. Any copyright, artistic work, design work and any other Intellectual Property Rights created as a result of Lazada provision of this Additional Service to you shall vest and belong to Lazada.

4. Seller RSS Programme Warranties

You further represent, warrant and undertake that:

(a) all Products listed for sale are located in Singapore at the time of listing, and they comply with all applicable laws and safety standards in Singapore;

(b) you shall comply the RSS prohibited and restricted items list set out in Appendix 1;

(c) you shall comply with the RSS pricing and listing conditions set out in Appendix 2; and

(d) if your Products are perishable or food items then, 

(i) all applicable laws relating to food labelling including but not limited to the following requirements are complied with:

(A) products having statements or labels that are legible and clearly indicating the following information in English: your trade name, country of origin of the products, its net weight or the number (to be displayed in the manner as illustrated below), its true measure or volume, the quality, strength, purity, composition and proportion of the contents, allergen declaration (if any), and the name and address of the importer, manufacturer or packer (if applicable); 

(B) if the products are not manufactured or produced locally, the information under paragraph (d)(i) above have to be translated into English; 

(C) any products which any statement (written, pictorial or descriptive) that is false or misleading about the nature, quantity, composition, effects, etc. of the product, food or any ingredients, materials or properties thereof; and  

(ii) the quantity and/or weight of food Products shall be displayed on their packaging in accordance with the following guidelines:

(aa) the net quantity of food present in the package is required to be declared on the label. It shall be in absolute values, and not express over a range of values. As an illustration:

        Correct manner of declaration: Net weight: 490g

        Wrong manner of declaration: Net weight: 500g +/- 10g

(ab) the net weight of prepacked food product containing for example 20 mini sachets of 25g each shall be declared as “Net weight: 20 x 25g”;

(ac) the net quantity may be derived using the Minimum Quantity System or the Average Quantity System; and

(ad) the net quantity of the food present in the package should be expressed in terms of:

(A) Volumetric measure (e.g. millilitres, litres) for liquid food products.

(B) Net eight (e.g. grams, kilograms) for solid food products and accompanied with the word, “net”.

(C) Either volumetric measure or net weight for semi-solid/viscous products (e.g. tomato paste, yoghurt). 

(e) if your Products are non-food items, then: 

(i) all applicable laws in particular relating to labelling, packaging and safety are complied with including but not limited to the following: 

(A) Products have statements or labels that are legible and clearly indicating the following information in English: your trade name, country of origin of the Products, its net weight, its true measure or volume, the quality, strength, purity, composition and proportion of the contents and ingredients, manufacturing date, expiry date, allergen declaration (if any), and traceability information such as the name, contact details and address of the importer, manufacturer or packer, batch number (if applicable); 

(B) products have statements or labels with the necessary instructions for use, safety marks, product safety standards, warning labels in accordance with applicable international standards, special precautions, (if applicable).  

(f) all Product shall be packed and/or prepared in a manner that is suitable for pickup and delivery to the customer.

5. Lazada Rights under the RSS Programme

5.1 Without prejudice to any rights Lazada may have under these RSS Terms and Terms of Service, Lazada reserves the right:  

(a) to determine the content, appearance, design, functionality and all other aspects of your Store (including the right to re-design, modify, remove and alter the content, appearance, design, functionality, and other aspects of your Store); 

(b) to refuse to list, or to delay or suspend listing of, or to remove from listing, or to require you not to list, any or all Products;

(c) to review, modify, remove, or alter all content, specifications, descriptions, reviews, photographs, or other information placed by a Seller on the Store in connection with your Products or otherwise; and

(d) to withhold for investigation, refuse to process, restrict shipping destinations for, refuse to deliver, stop and/or cancel any of your Orders. You will stop and/or cancel Orders upon Lazada’s request. You also agree to refund any Buyer that has been charged for an Order that has been suspended or cancelled.

5.2 You agree to make good, amend, replace, rectify, or repair all defects in respect of the Products to the Buyers, as the case may be, as requested by Lazada or a Buyer, or as required by law. In the event of a product recall of your Product, you shall notify Lazada immediately and cooperate with Lazada and its Buyers in respect of the recall. 

6. RSS Charges and Applicable Fees

The fees, allowances, rebates and/or penalties chargeable to you under the RSS Programme is set out in your account under the Partner Portal (“RSS Charges”). 

7. Payment

7.1 Lazada shall at the end of each calendar month issue to you an invoice together with a sales report showing the sales made under your Partner Portal Account. You shall notify Lazada within five (5) Business Days from the date of the sales report of any issues or errors. Following which, the sales report issued to you shall be deemed accurate and final.

7.2 The Payment of the Net Proceeds (after deducting the Fees and any other authorised deductions) shall be paid to you periodically in accordance with the RSS Terms and the Terms of Service. Under the RSS Programme, you shall be paid the Net Proceeds within 35 days from the end of each calendar month. 

Notwithstanding anything to the contrary inthe Terms of Service, all payment services provided to you in connection with your use of the Platform shall be provided by Lazada's designated providers, which will be duly licensed or otherwise exempt to provide the payment services to you under all applicable laws and may include one or more Alipay payment entities (each an "Alipay Entity"). In these RSS Terms and Terms of Service, all references to payment processing or related payment services shall be provided by such designated provider and not Lazada, and shall be subject to any additional payments under terms of service of such designated provider ("Payment Terms").

You acknowledge and agree that Lazada does not at any time provide, and is not holding itself out as providing, any payment services to you in connection with your use of the Platform, and all colletion and execution of all Sales Proceeds is performed by the designated providers.

7.3 For the avoidance of doubt, the Fees that are payable by you include:

(a) the RSS Charges;

(b) if applicable, the Payment Fee. Such Payment Fee will instead be chargeable by the designated provider(s) (and not Lazada) under the Payment Terms. You agree that Lazada may instruct the designated provider(s) to deduct or withhold any Payment Fee due and payable to them in connection with the relevant designated provider's provision of payment processing or related payment services; and

(c) If applicable, any Administrative Fee/Default Fee, Additional Services Fee and/or such other fees set out in these RSS Terms, Terms of Service and/or in the Policies. 

7.4 In the event the Sales Proceeds are repeatedly insufficient to pay the Fees and any other service fees payable to Lazada, Lazada will send an invoice and the Partner Portal details to you for direct payment of outstanding amounts. You shall pay to Lazada within ten (10) Business Days from the date of the invoice.

8. Pricing and Listing Conditions

You agree to comply with the RSS pricing and listing conditions set out in Appendix 2. These pricing and listing conditions relate to, amongst other things, your obligations to ensure that the accuracy of the Listing Price of a Product, and your inventory of the Product is sufficiently stocked as long as it remains listed in the Platform and/or the Partner Portal.

9. RSS Fulfilment / Seller Self Pick Pack

9.1 You agree to use only the first and last mile delivery options offered by Lazada under the RSS Programme (“RSS Fulfilment”) in respect of the fulfilment of the Orders. For the avoidance of doubt, unless agreed by Lazada, the Fulfilment Models, Annex 2 and Annex 3 of the Terms of Service will not apply to you under the RSS Programme.

9.2 Upon receipt of an Order, you shall:

(a) process the Order as soon as possible, and all Orders shall be ready for collection at your pick-up address indicated in the Partner Portal prior to the agreed pick up window ("Pick-Up Window"). In the event of a delay, you shall notify Lazada immediately; and

(b) if applicable, notify and inform Lazada of any special delivery instructions (including whether the Product is fragile) and the aggregate dimensions and weight of all packaged Product(s) in the Order.

9.3 Unless otherwise agreed by Lazada, you agree that that you shall make your Product(s) available for collection by Lazada seven (7) days a week (excluding public holidays) between the hours agreed between you and Lazada.

9.4 You further represent and warrant that all Products to be picked up and/or delivered can be lawfully transported by Lazada (by any means of transport) and fulfil all requirements mandated by Lazada from time to time and the Products are not (i) Prohibited and Controlled Products; (ii) Inadequate Product; (iii) expired (or soon to be expired) Products; or (iv) counterfeit Products. 

9.5 Lazada may, but is not obligated to, at its sole discretion inspect any packages and/or Products prior to accepting them for delivery, and following such inspection may refuse to process, handle or transport such goods, and cancel the Order. 

9.6 Lazada reserves the right to suspend or cancel any Order that: 

(a) you have not identified the Product as ready for collection at the time of the Pick-Up Window;

(b) your Product exceed the delivery dimensions stipulated by Lazada; or

(c) if Lazada has reasonable suspicion that you have may have breached any of the RSS Terms and/or the Terms of Service.

9.7 In the event a Buyer refuses to accept the Products on delivery attempt, the Product is deemed to be unacceptable or in breach of paragraph 9.4, or the addressee cannot reasonably be identified or located:

(a) Lazada may release, dispose of, or sell the said Products without incurring any liability whatsoever to you or anyone else.

(b) You agree that title to all Products passes to Lazada and prior to any examination, release, disposal, or sale of the Products by Lazada. You authorise Lazada to issue the tax invoice and/or customer accounting tax invoices on your behalf. You will not issue any tax invoice and/or customer accounting tax invoice for the Products. You are required to confirm the GST amount on the tax invoice via Partner Portal is per the GST amount you have reported or will be reported in GST return.

9.8 Lazada bears no risk and shall have no liability in respect of any Products which are damaged, destroyed, or which become unusable or unsuitable as a result of any delay or refusal in delivery.

9.9 Lazada’s liability in respect of any Product transported by it shall be limited to the amount which you would have received for that Products. Any settlement by Lazada will be full and final settlement for all loss or damage in connection therewith.

9.10 Notwithstanding anything to the contrary, Lazada shall in no event bear any liability for any change in the quality of the Products at any time, including (without limitation) while the Products are in transit and at the time of delivery of the Products to the Buyer with the RSS Fulfilment.

9.11 Lazada reserves the right to outsource the logistics services to a third party.

9.12 You may also opt for the Seller Self Pick Pack (“SSPP”) which is a new feature that allow you to have full control of the picking and packing process of the daily orders. With this new feature, you are now able to know earlier in the process if there are any errors or issues with the items being picked and rectify it beforehand. In addition, double handling and exposure to defects or quality erosion of the orders are also reduced. Drivers will no longer have access to individual items and will collect the orders at a container level. Each container will be sealed to avoid any tampering. 10. Refunds

10.1 Without prejudice to any rights of Lazada, Lazada may on your behalf refund any Buyer for the purchase of a Product in the event:

(a) the Product(s) is faulty, damaged, recalled and/or expired; and/or

(b) the Product(s) is not as described.

10.2 If Buyer has already been charged for the Order or the Product, Lazada will execute refunds (and any adjustments) and credit the applicable Buyer account regardless whether Lazada is in receipt of the Product as described in paragraph 10.1. You will reimburse Lazada for all amounts credited and costs associated with the refund. 

11. RSS Service Level and Quality Assessment

11.1 In order to ensure that the Buyers of Lazada gets the best experience shopping on the Platform, Lazada has to implement certain service levels and quality assessments standards for Sellers participating in the RSS Programme, and you represent and warrant to Lazada that you will agree to adhere to these service levels and quality assessment standards as part of your participation in the RSS Programme.

11.2 The service levels (“Service Levels”) and quality assessment standards (“QA Standards”) are set out in Appendix 3, and are subject to change from time to time 

11.3 You are also required to indicate to Lazada (and within the Partner Portal, where applicable): 

(a) whether you are GST registered under the Goods and Services Tax Act (Chapter 117A of Singapore), and it shall be your sole responsibility to do so and update Lazada of any change in your GST status and GST registration number; and

(b) your company registration number, registered address and company name and/or update Lazada of any change in your corporate status.

Failure to comply with this clause shall be deemed a breach of the Service Levels.

11.4 In the event that you do not meet the Service Levels and/or QA Standards, notwithstanding any other rights that Lazada has under the Agreement, Lazada reserves the right to charge you the Administrative Fee/Default Fee and/or take specific actions on you as set out in Appendix 3.

12. Termination

12.1 Lazada may at its sole discretion terminate your access to the Store or suspend the execution of any Order immediately without any prior notice given to you. 

12.2 A breach of any of these RSS Terms shall be deemed to be a breach of the Terms of Service, and Lazada shall be entitled to any of its rights it may have under the Terms of Service.

12.3 If you no longer wish to participate in the RSS Programme or would like to terminate your participation in the RSS Programme and the Terms of Service, please stop all access to and the use to the Partner Portal and any of Lazada Services, and delist all of your Products. Your cessation of your participation in the RSS Programme shall be without prejudice to any of Lazada’s rights and your obligations under the Terms of Service. 

12.4 You cannot assign, transfer or subcontract all or part of your rights and/or obligations deriving from the RSS Terms and/or the Terms of Service, without the prior written consent of Lazada. Lazada may assign, transfer or subcontract all or part of its rights and/or obligations deriving from the RSS Terms.

Appendix 1

Prohibited Items

You shall not list any items or products that are prohibited under the laws and/or regulations in Singapore, including but not limited to the following items and/or products:

(a) endangered animals and wildlife products;

(b) expired cosmetics;

(c) Counterfeit equipment, including:

     (i) equipment that creates stamps/seals from the seal impression;

     (ii) currency, government stamps and stamps;

     (iii) identification cards (such as driver's license, passports, health insurance cards);

     (iv) mediums that contain any individual/private information (such as lists of names and resident's card, etc.), identification details and passwords; or

     (v) badges and uniforms, anything that clearly represents employee identification, official position, position of government or municipal offices, or enterprise;

(d) credit and debit cards;

(e) currency (local or foreign);

(f) Illegal Drugs (including narcotics, steroids or other controlled drugs) and drug paraphernalia; 

(g) descriptions of drugs or drug-like substances or instructions or guides for the sourcing, manufacturing or supply of drugs or drug-like substances, including eBook/books describing how to create methamphetamine;

(h) electronics equipment with de-scrambling/jamming capabilities;

(i) firearms, weapons, arms and explosives;

(j) noxious food items;

(k) food which contains any prohibited substances or substances in excess of permitted proportions; 

(l) adulterated food without fully informing the buyer at the time of sale of the nature of the transaction; 

(m) unsanitary food: food that is prepared, packaged or stored under unsanitary conditions;

(n) hazardous or dangerous materials or goods (fireworks, Freon, radioactive materials, flammable gases, liquids and solids, and toxic substances). These do not include batteries, paint, or normal household cleaners or goods;

(o) human parts and remains;

(p) items encouraging illegal activity, items or links to items that encourage, promote, facilitate or instruct others to engage in illegal activity; 

(q) lockpicking devices: any lockpickers or locksmithing are prohibited;

(r) lottery tickets;

(s) mailing lists and personal information: The sale of bulk email, Internet Protocol (IP), Instant Messenger (IM), or databases/mailing lists that contain names, addresses, phone numbers, or other personal identifying information;

(t) any tools or software designed predominantly to send unsolicited commercial messages (UCE or "spam");

(u) multi-level marketing, pyramid, and matrix programs: The listing and advertising of multi-level marketing programmes (including online payment randomisers), matrix, pyramid, Ponzi schemes, and all similar programmes;

(v) offensive material including any ethnically or racially offensive material and/or memorabilia, including without limitation, promotional ads and tickets etc. of a sex club (or clubs), video, DVD, photograph collection, computer games, software, book, and magazine deemed undesirable and unsuitable for those under 18 years of age;

(w) police-related items: law enforcement badges or official law enforcement equipment from any public entity, including badges issued by the government of any country;

(x) postage metres or franking machines;

(y) prescription drugs: Controlled drugs or items (or their components) that require a prescription from a licensed practitioner (such as a doctor, dentist, ophthalmologist or optometrist); including without limitation drugs prescribed by veterinarians for animals; medicines relating to certain diseases like diabetes, epilepsy or hypertension;

(z) stolen property and property with removed serial numbers; and/or

(aa) tobacco and tobacco products.

Appendix 2

Pricing and Listing Conditions

B. RSS Pricing Conditions

1. You shall ensure that the Listing Price for any Products offered to Buyers is at least as favourable as the price offered by you outside the Platform on any other channels for the same product in like or lesser quantities. This does not include items on a limited time promotional price for less than ten (10) consecutive days, unless otherwise agreed between you and Lazada.

2. You shall indicate and notify Lazada of the Listing Price for each Product to be sold through the Partner Portal. 

3. You agree to take full responsibility on the pricing of your Products, and you shall honour any Order made even if there had been any typos, and errors as to the Listing Price of each of the Products.  

C. Sales Transaction Process

1. Each purchase of your Product forms a Buyer Contract between you and the Buyer. Neither Lazada nor its affiliates are, nor shall be deemed to be, the purchaser or the seller of your Products. 

2. Lazada shall have no liability or responsibility for any Product purchased by a Buyer, including as a result of any returns or cancellations. Any disputes or liabilities arising from the sale of a Product on the Store shall be resolved between you and the Buyer.

3. Lazada reserves the right to extract a sale invoice for your Product from Partner Portal and send it to the Buyer.

4. You are required to review all Orders on a daily basis and if you are unable to fulfil an Order, please cancel the Order and inform Lazada immediately of the cancellation. Lazada shall use reasonable endeavours to notify the Buyer of such cancellation. 

5. If you cancel an Order for any reason whatsoever after you have notified Lazada that the Order is available for collection, this shall be deemed a breach of Service Level and Lazada reserves the right to charge you an Administrative Fee/Default Fee pursuant to Appendix 3.

D. Inventory Management

1. It shall be your sole responsibility to manage your own inventory of the Products and update it on a daily basis via the Partner Portal.

2. If you are running low on inventory and anticipate that your Products may be out of stock soon, you shall ensure that you monitor the inventory level on more frequent intervals throughout the day. Once you have run out of the current stock for your Products, you are required to ensure that that listing for the Product is removed, and inform Lazada of the same within the same Business Day.

“Referral Fee” refers to the amount of commission Lazada collects from you, for providing a platform for transaction that connects

Notes: 

*Instance (3-month reset) - A default instance following the end of a 3-month cycle will be treated as your first default instance. You will have a 3-day grace period to respond to Lazada quality assurance (QA) team from the first communication of default instance before Lazada implements specific actions on you.

**Delist - Only affected Product(s) to be delisted until Lazada is satisfied that you meet the requirements for reinstatement of the delisted Product(s).

Requirements for Reinstatement:

1/ You shall submit a corrective action report (CAR) with next steps.

2/ You shall pass the mandatory Lazada QA training and test.

3/ Your CAR and proposed next steps to be approved by Lazada QA team.

4/ You shall pass the audit of your Store by Lazada QA team. Audit criteria solely determined by Lazada QA team based on nature of your default.
